URSPEX TERMS AND CONDITIONS

‍Please read these Terms and Conditions ("Terms", "Agreement") carefully before using the UrSpex website located at urspex.com ("Service", "Site", "Platform") operated by UrSpex ("us", "we", "our", "Company"). By accessing or using our Service, placing an order, or submitting any content through our platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access or use the Service.
‍1. ACCEPTANCE OF TERMS
‍By accessing and using this website, you accept and agree to be bound by these Terms and Conditions and our Privacy Policy. These Terms apply to all visitors, users, customers, and others who access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.These Terms constitute a legally binding agreement between you and UrSpex. If you are using the Service on behalf of an organization, you are agreeing to these Terms on behalf of that organization and represent that you have the authority to bind that organization to these Terms.
‍2. DESCRIPTION OF SERVICE
‍UrSpex is a premium custom trading card creation service that allows customers to submit their vehicle specifications and personal information to have a custom trading card created featuring their vehicle ("Card"). The Service includes, but is not limited to, the creation, production, and delivery of custom trading cards, as well as the display and listing of submitted vehicles and their associated cards on the UrSpex platform, including but not limited to the UrSpex website, social media channels, publications, newsletters, and any other promotional materials produced by or on behalf of UrSpex.
‍3. CONTENT SUBMISSION AND LICENSE GRANT
3.1 Submission of Content
‍When you place an order through UrSpex and submit vehicle specifications, photographs, personal information, usernames, aliases, vehicle details, modification lists, or any other content through our order form or any other means ("Submission" or "User Content"), you acknowledge and agree that such Submission is voluntary and that you are granting UrSpex a broad license to use that content as described in these Terms.
‍3.2 License Grant
‍By submitting content to UrSpex, you hereby grant UrSpex a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, publish, and perform your User Content in connection with the Service and UrSpex's business operations, including without limitation for promoting and redistributing part or all of the Service in any media formats and through any media channels, including but not limited to:Listing your vehicle and associated card on the UrSpex websiteFeaturing your submission in UrSpex's monthly Top 5 publicationsFeaturing your submission in the UrSpex Hall of FameUsing your submission in promotional materials, social media posts, newsletters, and advertisementsDisplaying your submission in any UrSpex publication, whether digital or physicalUsing your submission in any future UrSpex media or business ventures
‍3.3 No Royalties or Compensation
‍You acknowledge and agree that you will not receive any royalties, compensation, revenue share, or any other form of payment in connection with UrSpex's use of your Submission, regardless of how UrSpex uses your content, how many times it is viewed, shared, or distributed, or any revenue generated by UrSpex in connection with your Submission. The consideration for this license grant is the creation and delivery of your custom trading card.
‍3.4 Right to Modify Submissions
‍UrSpex reserves the right, but not the obligation, to modify, edit, alter, adapt, reformat, or otherwise change your Submission at any time, for any reason, without notice or compensation to you. This includes but is not limited to:Correcting factual inaccuracies in vehicle specificationsAdjusting or editing vehicle modification details that UrSpex believes to be inaccurate, exaggerated, or inconsistent with the vehicle depictedReformatting content to fit UrSpex's design standardsEditing photographs for color, brightness, contrast, cropping, or other aesthetic adjustmentsAdding, removing, or altering text associated with your SubmissionTranslating content into other languagesYou acknowledge that customers may provide inaccurate, exaggerated, or unverified information regarding their vehicle modifications, and UrSpex reserves the right to make adjustments to submitted content to maintain the accuracy and integrity of the platform. UrSpex is not responsible for verifying the accuracy of any submitted vehicle information.
‍4. ACCURACY OF SUBMISSIONS
4.1 Responsibility for Accuracy
‍You represent and warrant that all information submitted through the UrSpex order form, including but not limited to vehicle specifications, modification details, photographs, and personal information, is accurate, truthful, and not misleading to the best of your knowledge. You agree not to deliberately submit false or exaggerated information regarding your vehicle or its modifications.
‍4.2 Right to Reject Submissions
‍UrSpex reserves the absolute right, in its sole and complete discretion, to reject, refuse to publish, decline to feature, or remove any Submission from the platform at any time, for any reason or no reason, without notice, explanation, or compensation to you. This includes but is not limited to Submissions that UrSpex determines, in its sole discretion, to be inaccurate, inappropriate, offensive, low quality, inconsistent with UrSpex's brand standards, or otherwise unsuitable for the platform.
‍4.3 No Guarantee of Listing or Feature
‍Placing an order with UrSpex does not guarantee that your vehicle will be listed on the website, featured in any publication, or selected for the monthly Top 5 or Hall of Fame. The creation and delivery of your custom trading card is the sole guaranteed deliverable associated with your purchase.
‍5. INTELLECTUAL PROPERTY
5.1 UrSpex Intellectual Property
‍The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of UrSpex and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of UrSpex.
‍5.2 Custom Trading Cards
‍The custom trading cards created by UrSpex, including their design, layout, typography, and overall aesthetic, are the intellectual property of UrSpex. While you are purchasing a physical or digital copy of your card, UrSpex retains all intellectual property rights in the design and production of the card itself.
‍5.3 Photographs
‍By submitting photographs through our platform, you represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to submit such photographs and to grant UrSpex the license described in Section 3.2 above. You are solely responsible for ensuring that your photographs do not infringe upon the intellectual property rights or privacy rights of any third party.
‍6. OPT-OUT AND CONTENT REMOVAL
6.1 Right to Request Removal
‍You have the right to request the removal of your Submission from the UrSpex website at any time, subject to the conditions described in this Section. To request removal of your content, you must send a written removal request via email to the official UrSpex contact email address. Your removal request must be sent from the same email address used to place your original order. Removal requests sent from any other email address will not be processed.
‍6.2 Processing of Removal Requests
‍UrSpex will make reasonable efforts to process valid removal requests within a reasonable timeframe. However, UrSpex does not guarantee any specific timeframe for the removal of content. UrSpex reserves the right to verify the identity of the person submitting the removal request before processing any such request.
‍6.3 Limitations on Removal
‍Notwithstanding the above, UrSpex reserves the right to retain copies of your Submission for internal record-keeping purposes, legal compliance, or archival purposes even after processing a removal request. Additionally, content that has been shared, distributed, or published in third-party channels prior to a removal request may not be fully retrievable, and UrSpex does not guarantee the removal of content from third-party platforms.
‍6.4 No Refunds for Removal
‍Requesting the removal of your Submission from the UrSpex platform does not entitle you to a refund of your purchase price. The purchase of a custom trading card is a separate transaction from the license granted to UrSpex under these Terms.
‍7. LIMITATION OF LIABILITY AND WAIVER OF CLAIMS
7.1 Waiver of Claims Related to Submissions
‍BY SUBMITTING CONTENT TO URSPEX AND PLACING AN ORDER THROUGH OUR PLATFORM, YOU EXPRESSLY WAIVE ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, AND RIGHTS TO SUE URSPEX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS ARISING OUT OF OR RELATED TO YOUR SUBMISSION, INCLUDING BUT NOT LIMITED TO CLAIMS RELATED TO:THE USE, DISPLAY, OR DISTRIBUTION OF YOUR SUBMISSIONTHE MODIFICATION OR ALTERATION OF YOUR SUBMISSIONTHE LISTING OR FEATURING OF YOUR SUBMISSION ON THE URSPEX PLATFORMTHE REMOVAL OR REJECTION OF YOUR SUBMISSIONANY PERCEIVED MISREPRESENTATION OF YOUR VEHICLE OR ITS MODIFICATIONSANY THIRD-PARTY USE OF YOUR SUBMISSION THAT URSPEX HAS AUTHORIZED
‍7.2 General Limitation of Liability
‍TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL URSPEX, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF URSPEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
‍7.3 Maximum Liability
‍TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, URSPEX'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO URSPEX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
‍8. INDEMNIFICATION
‍You agree to defend, indemnify, and hold harmless UrSpex and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.
‍9. PRIVACY AND DATA
9.1 Collection of Information
‍By placing an order with UrSpex, you consent to the collection, storage, and use of your personal information, including your name, email address, vehicle information, and any photographs submitted, in accordance with UrSpex's Privacy Policy. Your information may be used to process your order, communicate with you about your order, and as described in Section 3.2 of these Terms.
‍9.2 Email Communication
‍By placing an order, you agree to receive transactional emails related to your order. Your email address will be used as your primary identifier for any account-related communications, including removal requests as described in Section 6.1.
‍10. PROHIBITED CONDUCT
‍You agree not to use the Service to submit content that:Infringes upon the intellectual property rights of any third partyContains false, misleading, or fraudulent informationDepicts vehicles or content that you do not own or have the right to submitContains offensive, defamatory, or inappropriate materialViolates any applicable law or regulationImpersonates any person or entityUrSpex reserves the right to remove any content and terminate any account that violates these prohibitions.
‍11. MODIFICATIONS TO TERMS
‍UrSpex reserves the right to modify these Terms at any time, at its sole discretion. We will provide notice of significant changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Service after any modification constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for changes.
‍12. GOVERNING LAW AND DISPUTE RESOLUTION
‍These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Las Vegas, Nevada.
‍13. SEVERABILITY
‍If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these Terms shall continue in full force and effect.
‍14. ENTIRE AGREEMENT
‍These Terms, together with our Privacy Policy, constitute the entire agreement between you and UrSpex regarding the Service and supersede all prior and contemporaneous agreements, representations, and understandings between you and UrSpex.
